中化建国际招标有限责任公司（以下称为“招标代理机构”），中国海洋石油集团有限公司的全资子公司，受中海壳牌石油化工有限公司公司（以下称为“招标人”）委托，就中海壳牌惠州三期乙烯项目所需部分货物及相关服务进行国际公开招标。现邀请投标人对下列货物和服务提交电子密封投标：

CNCCC International Tendering Co., Ltd., a wholly-owned subsidiary of China National Offshore Oil Corporation (CNOOC), (hereinafter referred to as “the Procurement Agency”), entrusted by CSPC Huizhou Phase 3 Ethylene Project (hereinafter referred to as “Procuring Entity (Company/Purchaser)”), intends to organize an International Competitive Bidding for the purchase of the Goods and the relevant services required under the project of CSPC Huizhou Phase 3 Ethylene Project. Bidders are kindly requested to submit their electronically sealed bids for the following Goods and Services.

1.  招标条件 Preconditions for Solicitation

项目概况：中海壳牌石油化工有限公司（以下简称“中海壳牌”）拟在广东惠州大亚湾石化产业园区新建中海壳牌惠州三期乙烯项目，以实现其打造世界级、高度一体化的石化基地的愿景。

Project Summary：Project overview and financial nature: CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase III Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3. 对投标人的资格和业绩要求

Requirements for Qualifications and the Past Performance of the Bidder:

（1）★资格要求Requirements for Qualifications of the Bidder 

A. 如果投标人为中国境内注册公司，投标人需具有合法有效的企业法人营业执照、税务登记证及组织机构代码证或证照合一的营业执照，投标时需提供原件扫描件（原件备查）；

If the Bidder is a company registered within the territory of China, it shall possess a legally valid Business License of an enterprise legal person, Tax Registration Certificate, and Organizational Code Certificate, or a unified business license combining these certificates. When submitting the bid, the Bidder shall provide a scanned copy of the original document (with the originals kept available for verification).

如果投标人为中国境外注册公司，需提供有效的公司登记注册证明；

If the Bidder is a company registered outside the territory of China, it shall provide a valid certificate of company registration.

投标人为分公司的，需具有合法有效的营业执照（境内注册）/公司登记注册证明（境外注册）和上级法人单位授权书（授权该分公司投标和签订合同），投标时需提供原件扫描件（原件备查）。

If the Bidder is a branch company, it shall possess a legally valid business license (for those registered within China) / certificate of company registration (for those registered outside China) and an authorization letter from the superior legal entity (authorizing the branch to bid and sign contracts). When submitting the bid, the branch shall provide scanned copies of the original documents (with the originals kept available for verification).

招标人认可该分公司和上级法人单位的资质、资格和业绩，不认可同一上级法人单位的其它分公司的资质、资格和业绩。分公司与上级法人单位只可一家参与投标，同时参与投标的，投标均无效。

The qualifications, eligibility and performance of the branch and its superior legal entity shall be recognized by the Procuring Entity(Company/Purchaser), while the qualifications, eligibility and performance of other branches under the same superior legal entity shall not be recognized. Only one of the branch and its superior legal entity may participate in the bid; if both participate in the bid, all their bids shall be regarded as invalid bids.

B. 投标人所投产品的制造商须同时具备有效的GB/T19001（ISO9001）质量体系认证证书，国内认证机构签发的证书应可在中国国家认证认可监督管理委员会网站(http://www.cnca.gov.cn/)核实。如果有国家相关部门发布的最新体系标准，以最新体系标准为准。投标时需提供原件扫描件（原件备查）。

The manufacturer of the products to be offered by a bidder must hold a valid GB/T19001 (ISO9001) quality management system certification certificate. The certificates issued by domestic certification bodies can be verified on the website of the China National Certification and Accreditation Administration Commission (http://www.cnca.gov.cn/).  If there are the latest system standards issued by relevant national departments, the latest system standards shall prevail. When bidding, the scanned copy of the original document must be provided (the original document is subject to verification).

C. 如果投标人所投产品非投标人自己制造，投标人应得到所投产品制造商同意其在本次投标中提供该货物的正式授权书。投标时提供制造商授权书原件的扫描件。

If the products to be offered by a bidder are not manufactured or not to be manufactured by the bidder itself, the bidder shall obtain a formal authorization letter from the manufacturer, permitting the bidder to offer such products in this bidding. The scanned copy of the original authorization letter must be provided and be included in the bidding document.

投标人以自己制造的货物参与投标的，不能再将此货物同时授权给其他投标人参与投标，否则相关的所有投标将被拒绝。投标人将被授权的货物再授权给其他投标人同时参与投标的，相关的所有投标将被拒绝。

If a bidder participates in the bidding with goods manufactured by itself, the bidder shall not authorize other bidders to offer the same goods in the bidding at the same time; otherwise, all related bids will be rejected. If a bidder re-authorizes other bidders the authorized goods to participate in the bidding at the same time, all related bids will be rejected.

D. 是否接受联合体投标：否

Is any bid by a consortium or a joint venture accepted?   No.

E. 未领购招标文件是否可以参加投标:不可以

Can a bidder participate in the bidding without purchasing the Solicitation Document? No.

（2）★业绩要求Requirement for Bidder's Past Performance:

2016年1月1日至投标截止日（以合同签订时间为准），投标人所投产品的制造商至少应具有1个合同的表面换热器（或加热板、或冷却板、或夹装式温度控制面板）供货业绩。

From January 1, 2016 to the bid submission deadline (based on the contract signing date), the manufacturer of the product submitted by by bidder must have at least one contract performance records for surface heat exchangers (heating plate, cooling plate or clamp-on temperature control template assembly).

同一集团全球范围内不同制造商（即同一集团旗下的全资子公司或控股子公司或制造工厂）制造的所投产品的业绩，视为所投产品的制造商的业绩；投标人应提供说明函，说明本次所投产品的制造商与满足上述业绩要求的产品制造商属于同一集团。

The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.

投标人须按规定格式提交业绩表，并提交相关业绩证明文件。业绩证明文件包括：1）销售合同。

The bidder shall submit the Performance Form in the specified format and provide the relevant performance certification documents. The performance certification documents include: 1) Sales contracts.

投标人所提交的业绩证明文件必须至少体现以下内容：合同签署时间、合同签署页（国内贸易合同应有双方盖章，国际贸易合同应有双方签字或盖章）、货物名称、供货数量。

The performance certification documents submitted by the bidder must include at least the following contents: the contract signing date; the contract signature page (China domestic trade contracts shall be stamped by the buyer and the seller, while international trade contracts shall be signed or stamped by the buyer and the seller); the name of the goods; quantity of the goods.

若业绩合同为年度协议，除提供年度协议外，还应提供相应的已到货订单，订单内容或编号应与年度协议相关联。同一个年度协议下，提供1个或以上的订单，均视为1个有效业绩。

If the contract is an annual framework agreement, in addition to the agreement itself, the corresponding Purchase Order(s) (PO)(under which the goods were delivered) shall also be provided, and the purchase order content or PO numbering shall be associated with the annual framework agreement. Under the same annual framework agreement, one or more purchase orders corresponding to the orders shall be deemed as one valid performance.

未提交业绩证明文件，或通过所提供的业绩证明文件无法认定满足上述业绩要求的，均被视为无效业绩。

Failure to submit the past performance certification documents, or inability to confirm that the above performance requirements are met through the performance certification documents so provided, shall be deemed as invalid performance.

Interested bidders may obtain the solicitation documents through the following method:

从2026年4月29日开始至2026年5月9日止，请登录“中国海油供应链数字化平台”(https://bid.cnooc.com.cn）的“招标公告”页面进行购买。

Bidders are requested to log in to the "招标公告" (Notice of Procurement ) page of the CNOOC Supply Chain Digital from  4  (MM)  29   (DD) 2026  to  5  (MM)  9  (DD) 2026.

首次登录必须先进行注册，注册方式选择“自主注册公开招标”。选择其他注册方式将导致注册失败。注册成功后，方可购买招标文件。

For the first-time login to the platform, registration is mandatory (free of charge). The registration method must be "自主注册公开招标" (Self-Registration for Public Bidding). Choosing other registration methods will result in a registration failure. Only after successful registration can a bidder purchase the Solicitation Documents.

投标人须在线填写“购买招标文件登记表”，并在线支付标书款。支付成功后，投标人可自行下载招标文件。
